Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and REPARTO CUBANO STORE LLC, a limited liability company organized under the laws of the State of New Mexico, United States ("Company," "we," "us," or "our"), operating the platform LNK99 accessible at https://lnk99.app ("Service").

By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease using the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before taking effect. Continued use after that date constitutes acceptance.

LNK99 is a software-as-a-service (SaaS) link-in-bio platform that allows creators, entrepreneurs, and businesses to build a personalized profile page aggregating their links, social media handles, digital products, and other content under a single shareable URL (e.g., lnk99.app/yourname).

The Service is provided on a subscription basis with both free and paid tiers. Features, storage limits, and capabilities vary by plan and are detailed on our Pricing page. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance, emergency patches, or events beyond our reasonable control may temporarily affect availability.

Eligibility: You must be at least 13 years of age to use the Service. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf. The Service is not directed to children under 13.

Account Registration: You agree to provide accurate, complete, and current information during registration and to keep it updated. Each user may maintain only one free account. Creating duplicate accounts to circumvent plan limitations is prohibited and may result in immediate termination.

Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@lnk99.app if you suspect unauthorized access. We are not liable for losses resulting from unauthorized account use.

Username Policy: Your chosen username becomes your public URL (lnk99.app/username). Usernames may not impersonate individuals, brands, or organizations; contain offensive, hateful, or misleading content; or violate any third-party trademark. We reserve the right to reclaim usernames that violate this policy.

You agree NOT to use the Service to:

• Publish, distribute, or link to illegal content, including but not limited to child sexual abuse material (CSAM), content promoting violence, or materials that violate any applicable law.

• Engage in phishing, fraud, deceptive marketing, pyramid schemes, or any activity designed to deceive end users.

• Distribute malware, ransomware, spyware, or any malicious code.

• Violate any intellectual property rights, including copyright, trademark, or trade secrets of any third party.

• Send unsolicited bulk communications (spam) or use the Service for mass marketing without proper opt-in consent.

• Promote hate speech, discrimination, or harassment based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.

• Sell or facilitate the sale of regulated goods (firearms, controlled substances, prescription drugs, tobacco to minors) without required licenses.

• Conduct unauthorized penetration testing, scraping, or reverse engineering of the Service.

• Circumvent, disable, or interfere with security features or access controls.

Violation of this section may result in immediate account suspension without refund and, where required by law, reporting to relevant authorities.

Payment Processing: All payments are processed by Stripe, Inc., a PCI-DSS compliant third-party payment processor. By providing payment information, you authorize us to charge your selected payment method for all applicable fees. We do not store full credit card data on our servers.

Billing Cycle: Paid subscriptions are billed in advance on a monthly cycle. Your billing date is set on the date of initial subscription.

Automatic Renewal: Subscriptions renew automatically each month unless cancelled before the renewal date through your account dashboard.

Price Changes: We reserve the right to adjust subscription pricing with at least 30 days advance notice. Price changes will not affect your current billing period. Continued use after the new price takes effect constitutes acceptance.

Failed Payments: If a payment fails, we will attempt to charge the payment method up to three times over 7 days. If payment remains unsuccessful after this period, your account may be downgraded to the free tier and paid features suspended.

Taxes: Prices shown exclude applicable taxes. You are responsible for all taxes, duties, or levies imposed by your jurisdiction in connection with your use of the Service.

Domain Purchases: Eligible Pro users may purchase a domain through LNK99. Stripe processes your payment and Cloudflare Registrar fulfills the registration using the contact details you provide at checkout. You authorize us to transmit those details and submit the registration on your behalf. Availability and pricing are not guaranteed until the registry confirms the registration.

Domain Custody and Use: You are the registrant and must provide accurate contact information, but the domain is technically managed through LNK99's Cloudflare account while this service is in use. Registry rules, ICANN transfer locks, verification requests, prohibited-use rules, and extension-specific requirements apply. Transfer or account-separation requests must be handled through support and may be subject to mandatory waiting periods.

Domain Renewal: Automatic renewal is initially disabled. The first-year purchase does not include future renewal charges. We will not enable automatic renewal without a separate renewal notice and payment authorization. You are responsible for responding before expiration; failure to renew may result in loss of the domain.

Domain Registration Fees: A successfully submitted domain registration is final and non-refundable because registry charges cannot be reversed. If registration fails before completion, the Stripe authorization is cancelled or released. Downgrading Pro may disconnect the domain from the LNK99 profile but does not itself cancel or transfer the registration.

Company IP: The LNK99 platform, including its name, logo, design, source code, trademarks, and all associated intellectual property, is exclusively owned by REPARTO CUBANO STORE LLC and protected by United States and international intellectual property laws. No rights are transferred to you by these Terms except the limited license to use the Service.

Your Content: You retain full ownership of all content, links, images, text, and other materials you upload or create on LNK99 ('User Content'). By uploading User Content, you grant REPARTO CUBANO STORE LLC a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, distribute, and reproduce such content solely as necessary to provide the Service.

Content Representations: You represent and warrant that (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) you have obtained all necessary consents from individuals featured in your content.

DMCA: We respect intellectual property rights. If you believe your copyrighted work has been infringed on our platform, please send a compliant DMCA notice to support@lnk99.app including your contact information, identification of the copyrighted work, and the infringing URL.

The collection, use, and protection of your personal data is governed by our Privacy Policy, available at lnk99.app/privacy, which is incorporated into these Terms by reference.

By using the Service, you consent to the data practices described in the Privacy Policy, including the use of cookies and similar tracking technologies.

We implement industry-standard technical and organizational security measures to protect your data. However, no transmission over the internet or electronic storage is 100% secure. You use the Service at your own risk regarding data security.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REPARTO CUBANO STORE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY ERRORS WILL BE CORRECTED; OR (D) THE SERVICE OR ANY CONTENT AVAILABLE THROUGH IT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

No advice or information, whether oral or written, obtained from us or through the Service will create any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPARTO CUBANO STORE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless REPARTO CUBANO STORE LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

By You: You may delete your account at any time through your account settings or by emailing support@lnk99.app. Upon deletion, your public profile will be removed within 30 days and your data handled per our Privacy Policy. Deletion does not entitle you to a refund of any prepaid fees.

By Us: We reserve the right to suspend or permanently terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe: (a) violates these Terms; (b) is harmful to other users, third parties, or us; (c) involves fraudulent activity; or (d) may create legal liability for us.

Effect of Termination: Upon termination, all licenses and rights granted to you cease immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.

Informal Resolution: Before filing any formal claim, you agree to first attempt to resolve any dispute by contacting us at support@lnk99.app and giving us 30 days to resolve it informally.

Binding Arbitration: If informal resolution fails, any dispute arising from or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, in New Mexico or via video conferencing. The arbitrator's decision is final and binding.

Class Action Waiver: YOU AND REPARTO CUBANO STORE LLC AGREE THAT EACH MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and REPARTO CUBANO STORE LLC regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations.

Force Majeure: We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, cyberattacks, government actions, or internet outages.
